By registering as a Worker or making a payment through Talo Pay, you agree to these Terms. Please read them carefully before using the platform.

1. Definitions

"Talo Pay" / "Talo"

Refers to Talo Pay (Pty) Ltd, a private company incorporated in South Africa. Talo Pay operates as a payment platform for which some are scan-to-pay and tap-to-pay tipping services accessible at talo.tips.

"Platform"

The Talo Pay website, web application, QR code payment pages, NFC wristband technology, software interfaces, and all digital systems that support the tipping service.

"Worker / SME operator"

An individual or small business (SME) operator who registers with Talo Pay to receive from customers — including car guards, petrol attendants, waiters, caddies, baristas, and any other service worker.

"Customer" / "Tipper"

An individual who scans a QR code or taps an NFC wristband to make a tip payment to a Worker through the Platform.

"PayShap"

South Africa's real-time interbank payment clearing service, operated by BankservAfrica under South African Reserve Bank oversight, used by Talo Pay to settle tips directly into a Worker's bank account.

"PSP" (Payment Service Provider)

Authorised payment partners engaged by Talo Pay to process transactions securely and in compliance with applicable regulations.

"Flat Fee"

The transparent, fixed service charge deducted by Talo Pay from each tip before the remainder is settled to the Worker's bank account. The current fee structure is displayed at talo.tips before registration.

2. Scope of Service

Talo Pay is a payment facilitator through technology, we are not registered as a bank to hold customer funds or operate under banking regulatory requirements, nor a credit provider, or financial services institution. Talo Pay does not hold customer funds in a wallet for an extended time. All tips are settled directly into the registered Worker's personal bank account twice a week.

All transactions processed through the Platform must comply with South African laws, PSP rules, and applicable anti-money laundering legislation.

Talo Pay may update these Terms or its fee structure at any time. Continued use of the Platform constitutes acceptance of any updated Terms.

3. Worker Obligations

Accurate Information

Workers must provide truthful, current, and accurate account and banking details. Incorrect information may result in failed payments, suspension, or termination of your Talo Pay account.

Identity Verification

Workers must complete all required identity verification (KYC) steps before tips can be settled to their bank account. Settlements may be held pending verification.

Regulatory Requirements & Allowed Use of our Services

Workers may only use the Platform to receive genuine tip payments for services rendered. Fraudulent, fictitious, or unlawful transactions are strictly prohibited and may be reported to relevant authorities.

Device & QR Code Responsibility

Workers are responsible for the safekeeping of their Talo Pay QR code and NFC wristband. Loss, theft, or misuse must be reported to Talo Pay at info@talopay.co.za immediately.

4. Payment Processing & Fees

When a Customer completes a tip payment, Talo Pay deducts its flat fee and the remainder is settled directly into the Worker's nominated bank account. Workers retain most of the tip payments after we have deducted our fees.

There is no wallet. There is a minimum withdrawal threshold of R50. Tips settle to the Worker's own bank account when a withdrawal has beend requested.

The exact fee amount is disclosed transparently during Worker registration and on the Talo Pay website. Fees may change with reasonable notice published at talo.tips.

5. Refunds & Reversals

Because Talo Pay settles tips directly into the Worker's bank account, reversals and refunds are governed by the rules of the PSP and the PayShap scheme.

Talo Pay will cooperate with PSP dispute processes. Workers may be required to provide supporting information for any disputed transaction.

6. PSP & PCI-DSS Compliance

Talo Pay processes payments exclusively through PCI-DSS Level 1 certified PSP partners. No card data is stored by Talo Pay. Workers and Customers must not attempt to record, intercept, or store payment card data outside the approved payment flow.

7. Prohibited Activities

The following are strictly prohibited on the Talo Pay Platform:

Talo Pay reserves the right to immediately suspend any account suspected of prohibited activity and to report such activity to the Financial Intelligence Centre or South African Police Service.

8. Termination & Suspension

Talo Pay may suspend or terminate a Worker account at any time for fraud, prohibited activity, PCI-DSS violations, regulatory instruction, failure to complete verification, or provision of false information. Pending settlements may be held until all disputes or compliance obligations are resolved.

Workers may close their account at any time by contacting info@talopay.co.za. Any settled funds will be disbursed in accordance with standard PayShap settlement timelines.

9. Data Protection (POPIA)

Talo Pay processes personal information in compliance with the Protection of Personal Information Act, 2013 (POPIA). Data is collected and used only for the purposes of account verification, payment processing, fraud prevention, regulatory compliance, and service communications.

Talo Pay does not sell personal information. Where data is shared with PSP partners or regulatory bodies, it is done lawfully and on a need-to-know basis. Refer to our Privacy Policy for full details.

10. Limitation of Liability

Talo Pay does not guarantee uninterrupted platform availability. Outages may occur due to third-party infrastructure, PSP systems, or PayShap network issues.

To the maximum extent permitted by South African law, Talo Pay's total liability is limited to the fees paid by the Worker in the three months preceding any claim. Talo Pay is not liable for indirect, consequential, or special damages, including lost income or missed tips resulting from platform downtime.

Talo Pay is not liable for the conduct of third-party PSPs, PayShap, or banking partners.

11. General Provisions

Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any dispute shall be resolved in the courts of South Africa.

Force Majeure

Talo Pay is not liable for failure to perform obligations caused by events beyond its reasonable control, including natural disasters, government actions, or network infrastructure failures.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.

Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Data Retention Policy, and Compliance Statement, constitute the entire agreement between Talo Pay and the Worker or Customer.
